These Terms of Use ("Terms") govern your access to and use of the websites, mobile apps, APIs, dashboards, creator tools, brand tools, organization workspaces, wallet features, media processing, campaign workflows, and related services provided by LOOT ("LOOT", "we", "us", or "our").
By creating an account, accessing the Services, clicking to accept these Terms, or using LOOT, you agree to these Terms. If you use LOOT for a brand, agency, company, or other organization, you represent that you are authorized to bind that organization.
1. What LOOT Does
LOOT is a marketplace that helps creators connect with brands and agencies for content campaigns. LOOT supports creator discovery, brand invitations, campaign applications, creative briefs, media uploads, submission review, social post links, campaign performance tracking where enabled, wallet infrastructure, campaign funding workflows, and campaign-specific creator payouts.
LOOT is not a talent agency, employment agency, broker-dealer, investment adviser, bank, money transmitter, exchange, custodian, or tax adviser unless expressly stated in a separate written agreement.
2. Eligibility
You must be at least 18 years old, or the age of majority where you live if higher, to use LOOT. You may not use LOOT if you are barred by law, subject to applicable sanctions restrictions, or located in a jurisdiction where we do not offer the Services. You are responsible for ensuring that your use of LOOT is lawful where you live.
3. Accounts and Security
Privy or another supported provider may provide authentication and wallet infrastructure. You are responsible for your account activity, device security, email security, wallet security, and any recovery methods connected to your account.
You agree to provide accurate information and keep it updated. You may not create accounts using false identities, impersonate others, sell accounts, or let unauthorized people use your account.
Notify us immediately at support@getloot.dev if you believe your account or wallet has been compromised.
4. Organizations and Roles
Brands and agencies may create organization workspaces and invite team members. Organization owners and admins are responsible for team activity, role assignments, campaign setup, funding decisions, and compliance with these Terms. If you join an organization, your workspace activity may be visible to organization owners, admins, and authorized members.
5. Creators
Creators are independent users. Creators are not employees, agents, partners, franchisees, or representatives of LOOT or any brand unless a separate written agreement says otherwise.
Creators are responsible for: providing accurate profile, wallet, social, and submission information; owning or having rights to uploaded content and submitted social posts; following campaign briefs and applicable brand requirements; making required advertising, sponsorship, and material-connection disclosures; complying with the rules of TikTok, Instagram, YouTube, X, and other social platforms; and paying any taxes owed on creator earnings.
6. Brands and Agencies
Brands and agencies are responsible for: creating accurate campaigns, briefs, payout rules, eligibility requirements, and review criteria; having rights to products, marks, creative references, and materials provided in campaigns; reviewing submissions fairly, consistently, and within campaign timelines; providing lawful instructions and not asking creators to mislead audiences; funding campaigns in full before activation; honoring the payout economics published at activation; and complying with advertising, consumer protection, product claim, industry, and platform rules.
7. Campaigns, Submissions, and Payouts
Campaign-specific rules appear in the campaign brief, payout rule, invite, application, or the LOOT Creator and Brand Program Terms. If campaign-specific rules conflict with these Terms, these Terms control unless the campaign-specific rule expressly says it overrides a specific section.
Payout eligibility depends on the campaign payout rule, submission status, performance verification where required by the campaign, fraud checks, wallet status, identity verification where required, compliance checks, and any additional requirements shown in the campaign.
LOOT may delay, hold, reverse, cancel, or refuse a payout or campaign action where permitted if we believe there is fraud, metric manipulation, abuse, policy violation, illegal activity, wallet risk, sanctions risk, rights dispute, chargeback risk, technical error, or insufficient funding.
8. Wallets, Crypto, and Onchain Transactions
LOOT uses wallet infrastructure providers such as Privy. Wallets on LOOT operate in two forms:
- Creator wallets. Creators receive payouts to an embedded self-custodial wallet provisioned through our wallet infrastructure provider, or to an external wallet the creator connects. Unless a feature expressly states otherwise, LOOT does not take custody of creator wallet funds or control creator private keys.
- Organization wallets. Brand and agency workspaces may fund campaigns from organization-authorized wallets provisioned through wallet infrastructure providers. Campaign funds may be reserved, budgeted, and disbursed according to campaign settings, wallet provider capabilities, organization authorization, policy controls, approval rules, transaction limits where supported, and audit logging. Unless a feature expressly states otherwise, LOOT does not take custody of organization wallet funds or control organization private keys.
You understand and agree that: blockchain transactions may be irreversible; wallet addresses and transactions may be public; network fees, failed transactions, price volatility, contract risk, stablecoin depeg risk, and chain outages may occur; LOOT does not guarantee token value, liquidity, transferability, tax treatment, or transaction confirmation; digital assets are not deposits and may not be insured by any government or deposit insurance program; and you are responsible for verifying addresses, networks, wallet permissions, and transaction details for wallets you control.
If a future feature involves delegated actions on creator wallets or shared signing controls, additional terms and consents may apply.
9. User Content
"User Content" means content you submit, upload, post, transmit, or make available through LOOT, including profile information, messages, campaign materials, logos, product references, videos, images, screenshots, social links, captions, comments, briefs, and submissions.
You retain ownership of your User Content, subject to the licenses you grant below and any campaign-specific license terms.
You represent and warrant that: you own or have all rights needed to provide the User Content; it does not infringe intellectual property, privacy, publicity, contractual, or other rights; it complies with these Terms, the Community Guidelines, campaign rules, and law; and it does not contain malware, deceptive claims, unlawful content, or prohibited content.
10. License To LOOT
You grant LOOT a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, process, transcode, caption, translate, display, perform, distribute, create previews and thumbnails from, and otherwise use User Content as needed to operate, improve, secure, promote, and provide the Services.
This license includes the right to show creator profiles and portfolio assets to brands, show brand campaign materials to invited or enrolled creators, display submitted posts and their performance in campaign contexts, process uploaded media, and use limited examples for marketplace operations. We will not sell your private submission creative as standalone content outside the Services unless you separately agree.
11. Campaign Content Licenses
Campaign-specific content rights may vary. A campaign may ask for a license to use approved creative, usage rights for ads, whitelisting, paid media rights, exclusivity, or other permissions. Those terms must be disclosed in the campaign brief or applicable agreement before submission.
If campaign rights are not clearly stated, the default rule is: the creator grants the brand a limited license to review the submitted content and view its performance within LOOT for the campaign; no paid advertising, whitelisting, sublicensing, or broad commercial reuse is granted until the creator accepts those terms. Brands may not use creator content beyond the rights granted.
12. Advertising and Disclosure Compliance
Creators and brands must comply with advertising and endorsement laws, including the FTC Endorsement Guides in the United States and equivalent rules elsewhere, requiring clear disclosure of material connections. If a creator receives payment, free product, campaign access, or a chance to earn from a brand relationship, the creator may need to clearly disclose that relationship in the content.
Brands may not instruct creators to hide sponsorships, make false claims, fabricate experiences, misrepresent results, or omit required disclosures.
13. Prohibited Conduct
You may not: violate law, sanctions, platform rules, or third-party rights; submit false, misleading, deceptive, or fraudulent information; manipulate metrics, engagement, submissions, wallets, rosters, invites, or payouts; upload infringing, exploitative, hateful, harassing, sexually explicit, non-consensual, violent, dangerous, or illegal content; scrape, reverse engineer, attack, overload, or interfere with LOOT; circumvent security, wallet rules, campaign rules, rate limits, eligibility controls, or payout checks; use LOOT for money laundering, terrorist financing, sanctions evasion, illegal gambling, scams, phishing, or other financial crime; impersonate another person or brand; or buy, sell, or transfer accounts without our permission.
14. Moderation and Enforcement
We may review, remove, restrict, label, demonetize, or refuse content, accounts, campaigns, submissions, applications, invites, wallets, or payouts if we believe they violate these Terms, our policies, law, or third-party rights. We may suspend or terminate accounts, remove users from campaigns, restrict discovery visibility, cancel invites, block uploads, disable wallet features, or preserve records for investigation.
15. Copyright and IP Complaints
If you believe content on LOOT infringes your copyright, follow our Copyright Policy. We may remove or disable access to content, notify users, process counter-notices, and terminate repeat infringers where appropriate.
16. Feedback
If you provide feedback, ideas, or suggestions, you grant LOOT the right to use them without restriction or compensation.
17. Third-Party Services
LOOT integrates with third-party services such as Privy, cloud hosting providers, social platforms, wallet providers, analytics providers, and app stores. Your use of those services may be governed by their terms and privacy policies. LOOT is not responsible for third-party services.
18. Disclaimers
The Services are provided "as is" and "as available." We do not guarantee that LOOT will be uninterrupted, error-free, secure, profitable, or available in every location. We do not guarantee creator earnings, brand results, campaign performance, social metrics, wallet availability, token value, transaction completion, or tax outcomes.
19. Limitation of Liability
To the maximum extent permitted by law, LOOT will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost goodwill, wallet losses, token value changes, failed transactions, platform bans, or third-party conduct.
To the maximum extent permitted by law, LOOT's total liability for any claim will not exceed the greater of US$100 or the amounts you paid to LOOT for the Services giving rise to the claim during the 12 months before the event giving rise to liability.
20. Indemnity
You agree to defend, indemnify, and hold LOOT harmless from claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from your use of the Services, User Content, campaigns, submissions, wallet actions, breach of these Terms, violation of law, or violation of third-party rights.
21. Termination
You may stop using LOOT at any time. We may suspend or terminate your access if you violate these Terms, create risk, cause harm, or if we discontinue the Services. Certain sections survive termination, including provisions about ownership, licenses, payouts owed or disputed, enforcement, disclaimers, liability limits, indemnity, dispute resolution, and records.
22. Changes To Terms
We may update these Terms. If changes are material, we will provide notice by reasonable means. Your continued use after the effective date means you accept the updated Terms.
23. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules.
Any dispute resolution process, arbitration requirement, class action waiver, venue provision, or non-US user dispute path will be stated in the version of these Terms published for launch.
